BOOK REVIEW PALMERS COMPANY LAW ANNOTATED GUIDE TO THE COMPANIES ACT 2006 Second Edition General Editor: Geoffrey Morse and a number of specialist authors ISBN: 978-0-414-04087-8 Sweet & Maxwell www.sweetandmaxwell.co.uk NEED HELP WITH THE COMPANIES ACT? PALMER GUIDES WITH EXCELLENT COMMENT An appreciation by Phillip Taylor MBE and Elizabeth Taylor of Richmond Green Chambers Now the massive Companies Act 2006 has now come fully into force, as at October 2009, the new Palmers Company Law Annotated Guide to the Companies Act 2006, will make all the difference to commentary, and makes it all the more accessible. As an invaluable work of reference from 11 specialist authors, this commentary guide is a meticulously structured, minutely researched and certainly definitive statement on the complexities of this important legislation stating the full statute, and containing six appendices. In particular, if youre concerned with keeping up to date with all the changes implemented within the Act between 2006 and October 2009, then this is a vital reference to acquire. In over 1460 pages with just the Table of Contents alone occupying 49 pages Palmer explains and analyses each and every section within the Act all 47 Parts of them. So, if you need to seek out an explanation of our codified company law and its application within the terms of the Act, Palmer is your problem solver. For example, if you are looking for insights into recent cases, Palmer provides up to date commentary encompassing amendments to the Act, including new legislation and developments throughout its implementation, notably the implementation of the Shareholders Rights Directive as a particular highlight. Each section of the Act is reproduced followed by insightful commentary. There are of course references to new, relevant case law and cross references to applicable secondary legislation. The various forms of Model Articles of Association as at 1st October 2009 are reproduced and the statutory context of the Act is explained in tables setting out surviving provisions of previous companies legislation, destinations and derivations. This is a formidable work even in flimsy paperback which is bound detach a few pages of the first 1154 covering the Act! It is well structured for the 47 parts covering areas too numerous to note in detail for a short review but everything is here. Suffice to say, the contents range from company formation, constitution and articles of association, to company name, directors liabilities and audit, to offences under the companies acts and transparency obligations. There are six appendices covering the last 400 pages, deal with -- and we list them here -- Bankruptcy and Diligence etc. (Scotland) Act 2007Surviving ProvisionsTable of DerivationsTable of DestinationsTable of Statutory Instruments and Companies (Model Articles) Regulations 2008. No commercial law practitioner or academic should be without the weight of authority, thoroughness and reliability offered by this latest edition of Palmer with its invaluable General Note on almost every page as a guide of excellence for all. Shareholders' Agreements. 5th edition by Sean FitzGerald and Graham Muth

04:35
BOOK REVIEW SHAREHOLDERS AGREEMENTS Fifth Edition Sean FitzGerald and Graham Muth ISBN: 978-0-421-93230-2 Sweet & Maxwell www.sweetandmaxwell.co.uk YES - ITS THAT COMPANIES ACT (2006) TIME AGAIN! AND THIS TIME ALL ABOUT SHAREHOLDERS AGREEMENTS An appreciation by Phillip Taylor MBE and Elizabeth Taylor of Richmond Green Chambers Shareholders agreements are governed by the law of contract, unlike articles of association primarily regulated by statutes. This is a definitive work of legal reference in 600 pages, and Shareholders Agreements focuses exclusively to those agreements predominantly made between the shareholders of private companies. It doesnt cover the law or practice in relation to public companies. If you are involved in shareholders agreements, namely drafting them, you need this book. In the new 5th edition, you are guided logically through the relevant changes in this area implemented by the Companies Act 2006, including the precedents and commentary which pertain to these changes. Of course the whole point of agreements including shareholders agreements is to set out terms, then formally documenting them with a view to preventing future disputes. How much better to thrash out terms prior to an agreement than to find oneself in a miasma of dispute resolution afterward. In the case of shareholders agreements, the interested parties get together to discuss, then arrive, hopefully, at a clear understanding of what is expected of them in any situation which is likely to transpire, with the consequent decisions emerging as a shareholders agreement. Which is why, as FitzGerald and Muth explain, the majority of this book is concerned with the practical aspects of documenting the relationship between shareholders, rather than the law and procedure governing the resolution of disputes. There are 12 chapters, 8 sets of precedents and an appendix on Private Model Articles and Table A which provides practical guidance on the nature and effect of shareholders agreements. The work offers in-depth analysis of their key components including: •Analyses of the reforms introduced by the Companies Act 2006 and the ramifications of the Act on the articles of association •Discussions of the elements of joint ventures and property joint ventures together with information on tax considerations •Explanation of boilerplate provisions •Detailed drafting notes, a precedent option agreement and warrant and much, much more. With the introduction of the Companies Act 2006, company law has undergone its most radical overhaul since 1948, as the authors point out in the preface, which has led to significant changes, including new concepts and relaxations in the law. This is an invaluable reference for company law practitioners will therefore enable you to draft shareholders agreements with even greater confidence and authority. Usefully, the book provides a glossary, a list of definitions and tables of cases, statutes and statutory instruments directly relevant to all in this fascinating sector of law which is stated as at October 2009 so its another one of those Companies Act 2006 times again, and just what we need for a modern view on shares so well explained by FitzGerald & Muth with tremendous backing from Cobbetts. http://academlib.com/6025/management/key_points_model_articles#665 Yes they do and it is obviously very important. The new model articles state 'Subject to the articles, the directors may make any rule which they think fit about how they take decisions, and about how such rules are to be recorded or communicated to directors.' Table A includes 'Subject to the provisions of the articles, the directors may regulate their proceedings as they see fit.' ...

PHASE IV AUCTION RESULTS

28:42
PHASE IV AUCTION RESULTS | 1972 Ford Falcon XA GTHO Phase IV | GTHO PHASE 4 AUCTION | Most expensive car in australia auctioned, LIVE 20th October 2018. Lloyds Gold Coast Auctioned the only unrestored one of only three genuine Phase IV Ford Falcon XA GTHO Falcons believed to be in existence. Bidding on this car started at $1.56 million ahead of this weekend’s auction – already well above the $1,030,000 paid for a GTHO Phase III in June. Lloyds Auctions Chief Marketing Officer Brett Mudie, whose company sold a Phase III once owned by fast bowler Jeff Thomson earlier this year for more than $1 million, said this is the first Phase IV to go under the hammer. Subscribe (MAIN CHANNEL);https://www.youtube.com/c/SteveMack How to Hacks;https://www.youtube.com/channel/UConSVI9ibn4CLgW687v5M_g On Sunday, 25 June 1972, the front page of the Sun-Herald article titled “160MPH ‘Super Cars’ Soon” set off a chain of responses from the Minister for Transport, Milton Morris, who called for the ban of these supercars just three days after the news article. After what would later become known as the "Supercar Scare", Ford announced the cancellation of their Phase IV program on the following 2nd July. Just one production car had been sent down the line, and three XA GT sedans were in various stages of construction to Phase IV specs at Ford Special Vehicles, Ford's internal race division. When the Ford GTHO Phase IV was built in 1972, as part of Ford’s plan for supremacy on Mt Panorama the year after Allan Moffat won the ’71 race with a XY GTHO Phase III. Ford dominated the race with eight of the top 10 places. But the fight with Holden and Chrysler went pear-shaped when the Phase IV appeared on the front page of a Sunday paper under the headline “160mph ‘Super Cars’ Soon – Minister ‘horrified'” and the then NSW transport minister reportedly called them “bullets on wheels”. It was an era when there were no speed limits on some rural roads and the maximum speed was 70mph (113km/h) across Australia. The story became known as the “supercar scare” and by the end of the week, Ford had abandoned plans for the Phase VI. Just one road car and three Phase VI prototype race cars, designed for Moffat and co-driver Fred Gibson, were built. The Ford Phase VI Falcon Brock won the ’72 Bathurst race in a Holden and within 12 months, Chrysler would depart the Bathurst race. Moffat boycotted the journalist, Evan Green, for years. V8s eventually became a race staple in 1974, but just three of the XA GTHOs are believed to survive. The GT model was introduced as a performance variant of the Australian Ford Falcon XR series in 1967. The GTHO Phase III (the HO stood for handling option) was built for homologation - one of a limited number of specially built road cars modified for use on a racetrack. The late Howard Marsden, Ford Australia’s racing manager in the early 1970s, said those initials (HO) meant that the motor was ‘virtually hand-built’. The homologation specials reached their peak with the Ford Falcon GTHO Phase III in 1971, a car which Allan Moffat used to defeat all opposition in the 1971 Bathurst enduro and was crowned the fastest four-door production sedan in the world. Ford further developed the HO series with the XA Falcon, and were ready to produce the Phase IV to homologate the car for Group E Series Production Touring Cars racing, including the 1972 Hardie-Ferodo 500… SHARED FOR ENTERTAINMENT PURPOSES ONLY Under Section 107 of the Copyright Act 1976, allowance is made for «fair use» for purposes such as criticism, comment, news reporting, teaching, scholarship, and research. However, the United States was overtaken as the largest automobile producer by Japan in the 1980s, and subsequently by China in 2008. The U.S. is currently second among the largest manufacturer in the world by volume, with approximately 8-10 million manufactured annually. Notable exceptions were 5.7 million automobiles manufactured in 2009 (due to crisis), and peak production levels of 13-15 million units during the 1970s and early 2000s.[1][2][3] The motor vehicle industry began with hundreds of manufacturers, but by the end of the 1920s it was dominated by three large companies: General Motors, Ford, and Chrysler, all based in Metro Detroit. As per Warren Buffett, two thousand auto companies in the USA that had existed at the beginning of the 20th century.[4]After the Great Depression and World War II, these companies continued to prosper, and the U.S. produced nearly three quarters of all automobiles in the world by 1950 (8,005,859 of 10,577,426).[2][3] Beginning in the 1970s, a combination of high oil prices and increased competition from foreign auto manufacturers severely affected the companies. In the ensuing years, the companies periodically bounced back, but by 2008 the industry was in turmoil due to the aforementioned crisis. As a result, General Motors and Chrysler filed for bankruptcy reorganization and were bailed out with loans and investments from the federal government. But according to Autodata Corp, June 2014 seasonally adjusted annualized sales is the biggest in history with 16.98 million vehicles and toppled previous record in July 2006.[5] Prior to the 1980s, most manufacturing facilities were owned by the Big Three (GM, Ford, Chrysler) and AMC. Their U.S. market share has dropped steadily as numerous foreign-owned car companies have built factories in the U.S. Toyota had 31,000 direct employees in the U.S. in 2012, meaning a total payroll of about $2.1 billion, compared to Ford's 80,000 U.S. employees supplying their 3,300 dealerships and Chrysler's 71,100 U.S. employees supplying their 2,328 dealerships.[6]

*** Newest Video: http://www.evancarmichael.com/Masters/ *** Like this video? Please give it a thumbs up below and/or leave a comment - Thank you!!! My name is Evan Carmichael and welcome to a special video post brought to you by American Express Canada. They have recently launched their Amex for Business Canada Facebook Page at http://on.fb.me/qI3i2i where you can access the latest news, information and resources for Canadian entrepreneurs. I believe that the fastest and most effective way to build a business is to model the strategies of people who have already done what you're trying to do. I call it Modeling the Masters. Today we're going to look at how a young entrepreneur went from performing in the streets and sleeping on park benches to becoming a billionaire who plays high stakes poker and is a space tourist in his spare time. This is the story of Cirque du Soleil founder Guy Laliberté and the top 3 lessons that you can learn from his success. "I bet everything on one night. If we failed, there was no cash for gas to come home." - Guy Laliberté Guy Laliberté, (born September 2, 1959) is a Canadian entrepreneur, philanthropist, poker player, space tourist and the founder of Cirque du Soleil. When Laliberté was 18 years old he left Canada for Europe to become a street performer. He played traditional Canadian music on an accordion with a hat for donations and slept on a park bench by night. He also met other street performers who taught him how to breath fire, juggle, perform magic, and walk on stilts before returning home. Unable to find a 9-5 job back home, he started a business that would create large-scale street shows. After 3 years of successful shows in 13 Canadian cities, Laliberté wanted to get bigger. In 1987 his company was booked as the opening act for the Los Angeles Arts Festival. He spent all the money he had to get to Los Angeles and prepare for the show. If it didn't work out he'd have to perform on the streets to get gas money to go home. Luckily for him the gamble paid off - his performance received standing ovations and ticket sales came flying in. With an estimated net worth of US$2.5 billion, Laliberté was ranked by Forbes in 2011 as the 11th wealthiest Canadian and 459th in the world. In 2006, Laliberté was named the Ernst & Young Entrepreneur of the Year and his company now employs over 5,000 people - not bad for a hustling entrepreneur who started off sleeping on park benches because he couldn't afford to pay rent. Action Item #1: Have a Greater Purpose Action Item #2: Foster a Creative Workplace Action Item #3: Take Risks True Story Laliberté understands the importance of getting the right people for his company. Once a year, Cirque du Soleil engages in a hiring campaign to bring new and freshly energized talent on board. For 16 weeks, anywhere between 60 and 70 candidates from around the world are gathered together to be tested. Pushed to their limits, Cirque encourages candidates to do things they probably have never done before, evaluating not only their core competencies, but also their values, generosity, courage, teamwork and problem solving skills. Laliberté wants to hire people who are risk-takers, just like himself, and who fit with the company's core values. More Quotes "It was live or die in L.A. And we bet everything on one night." "If you want to be good you have to connect with the best people." "Today, the dream is the same: I still want to travel, I still want to entertain, and I most certainly still want to have fun." What Do You Think? Does your company have a greater purpose? Are you afraid to take risks? What part of Guy Laliberté's message impacted you the most? As always, I'd love to hear your thoughts if you leave a comment below! What is PRODUCT TEARDOWN? What does PRODUCT TEARDOWN mean? PRODUCT TEARDOWN meaning & explanation

What is PRODUCT TEARDOWN? What does PRODUCT TEARDOWN mean? PRODUCT TEARDOWN meaning - PRODUCT TEARDOWN definition - PRODUCT TEARDOWN explanation. Source: Wikipedia.org article, adapted under https://creativecommons.org/licenses/by-sa/3.0/ license. SUBSCRIBE to our Google Earth flights channel - https://www.youtube.com/channel/UC6UuCPh7GrXznZi0Hz2YQnQ A product teardown, or simply teardown, is the act of disassembling a product, such that it helps to identify its component parts, chip & system functionality, and component costing information. For products having 'secret' technology, such as the Mikoyan-Gurevich MiG-25, the process may be secret. For others, including consumer electronics, the results are typically disseminated through photographs and component lists so that others can make use of the information without having to disassemble the product themselves. This information is important to designers of semiconductors, displays, batteries, packaging companies, integrated design firms, and semiconductor fabs, and the systems they operate within. This information can be of interest to hobbyists, but can also be used commercially by the technical community to find out, for example, what semiconductor components are being utilized in consumer electronic products, such as the Wii video game console or Apple's iPhone. Such knowledge can aid understanding of how the product works, including innovative design features, and can facilitate estimating the bill of materials (BOM). The financial community therefore has an interest in teardowns, as knowing how a company's products are built can help guide a stock valuation. Manufacturers are often not allowed to announce what components are present in a product due to non-disclosure agreements (NDA). Teardowns also play a part in evidence of use in court and litigation proceedings where a companies parts may have been used without their permission, counterfeited, or to show where intellectual property or patents might be infringed by another firms part or system. Identifying semiconductor components in systems has become more difficult over the past years. The most notable change started with Apple's 8GB iPod nano, were repackaged with Apple branding. This makes it more difficult to identify the actual device manufacturer and function of the component without performing a 'decap' – removing the outer packaging to analyze the die within. Typically there are markings on the die inside the package that can lead experienced engineers to see who actually created the device and what functionality it performs in the system. Teardowns have also been performed in front of a live studio audience at the Embedded Systems Conference (ESC). The first live teardown was performed on a Toyota Prius at the Embedded Systems Conference in San Jose, April 2006. Since that time, additional live teardowns have been performed, most recently being the Sony OLED TV, Gibson Self-Tuning Guitar, SuitSat space suit, and Sony Rolly MP3 player. Major companies that publicize their teardowns include Portelligent and Semiconductor Insights, both of which write featured articles in EETimes and TechOnline on their findings. The two companies were merged to form TechInsights, headquartered in Canada. ABI Research also provides teardowns for all major mobile devices and components in their Device Portal. Other websites offer user-contributed teardown information at no cost.

10 Barbies that shouldn't be for children! Subscribe: https://goo.gl/Hnoaw3 10 Toys Kids SHOULDN'T Be Playing With https://youtu.be/swN0Tbjwu-s ----------------------------------------------------------------------------------------- Since 1959, the Barbie doll has been one of the most popular toys in the world. Throughout the years, the doll has come in various forms, and she has held over 150 different careers. Although many kids look up to the iconic doll, Mattel hasn’t always designed her in a way that can be seen as inspirational. In fact, throughout the years they have made some terrible mistakes with the doll that caused a lot of outrage. From a pregnant doll to an Amy Winehouse version created by an artist, we’ll show you some of the most controversial dolls ever made. This is 10 Most Inappropriate Barbies EVER. Aside from her love for holding down a job, Barbie is an animal lover, too. In 2006, Mattel created a Barbie that came with a dog, Tanner, and a pooper scooper to clean up his waste. Talk about inappropriate! But if you think that’s bad, just wait until you see the Black Canary Barbie that was designed after the risqué DC comic book character and the Sun Gold Malibu doll that was sporting the worst tan we’ve ever seen. Then, there was Wash & Watch Barbie that catered to outdated gender roles, and a doll inspired by the Alfred Hitchcock movie “The Birds.” Let’s just say - if you were horrified after watching this scary film, you’ll be even more terrified once you see this doll. You’ll have to see this one to believe it! If you’d like to see even more inappropriate Barbies ever made, including Talkin’ Barbie and Growing Up Skipper, make sure to watch our video. Let us know in the comments which of these inappropriate dolls shocked you the most! ----------------------------------------------------------------------------------------- Our Social Media: Facebook: https://www.facebook.com/TheTalko Twitter: https://twitter.com/thetalko Instagram: https://instagram.com/the_talko ----------------------------------------------------------------------------------------- For more videos and articles visit: http://www.thetalko.com/

Private company limited by shares

13:09
A private company limited by shares, usually called a private limited company (Ltd.) (though this can theoretically also refer to a private company limited by guarantee), is a type of company incorporated under the laws of England and Wales, Scotland, that of certain Commonwealth countries and the Republic of Ireland. It has shareholders with limited liability and its shares may not be offered to the general public, unlike those of a public limited company (plc). "Limited by shares" means that the company has shareholders, and that the liability of the shareholders to creditors of the company is limited to the capital originally invested, i.e. the nominal value of the shares and any premium paid in return for the issue of the shares by the company. A shareholder's personal assets are thereby protected in the event of the company's insolvency, but money invested in the company will be lost. This video is targeted to blind users. Most individuals work in conjunction with an investment or tax professional and use current net worth, tax liabilities, asset allocation, and future retirement and estate plans in developing the plan. These will be used along with estimates of asset growth to determine if a person's financial goals can be met in the future, or what steps need to be taken to ensure that they are. Financial Planner: A qualified investment professional who helps individuals and corporations meet their long-term financial objectives by analyzing the client's status and setting a program to achieve that client's goals. Financial planners specialize in tax planning, asset allocation, risk management, retirement and/or estate planning. Asset Allocation: An investment strategy that aims to balance risk and reward by apportioning a portfolio's assets according to an individual's goals, risk tolerance and investment horizon. Investment Advisor: As defined by the Investment Advisors Act of 1940, any person or group that makes investment recommendations or conducts securities analysis in return for a fee, whether through direct management of client assets or via written publications. An investment advisor who has sufficient assets to be registered with the SEC is known as a Registered Investment Advisor, or RIA. Investment advisors are prohibited from disseminating advice known to be deceitful or fraudulent, and from acting as a principal on their own accounts by buying and selling securities between themselves and a client without prior written consent. _________________ EDWARD JONES Edward Jones financial advisors sell commission-based and fee-based financial products. Paula Gloria & Norman Kurland - Air date: 01-17-08

Paula Gloria Tsakona is the President and Director of The Concordia Foundation and a Producer of New Realities Global Public Access. The Concordia Foundation was created in 1996 with her ex-husband Vincenzo Santiglia, a native of Sicily, Italy while they were living on the island of Cyprus doing preliminary work to create an eco-village. The initial money in the foundation had come from windfall profits in the cellular licensing opportunities of the 80's. The name was inspired by the famous Sicilian temple in Agrigento dedicated to "the harmonious gathering of all the forces." Her present passion is free access to all people of the world to global communication using the tools of Non-Violent Communication. Inspired by Alan Steinfeld's ten year Public Access TV show she is convinced that the terrific stress and challenge of our modern day can be transformed into the energy needed to create New Realities. All efforts of the charity is dedicated to this purpose. Norman G. Kurland Mr. Kurland is a lawyer-economist, pioneer of employee stock ownership plans (ESOPs) and a leading global advocate for "the Just Third Way," a post-scarcity development model that transcends both capitalism and socialism by combining free markets with the democratization of economic power and capital ownership. He serves as President of the all-volunteer Center for Economic and Social Justice (CESJ), a non-profit think tank headquartered in Arlington, Virginia that he co-founded with Fr. William Ferree and other economic and social justice advocates in 1984. Mr. Kurland also founded and heads Equity Expansion International, Inc., an "investment banking firm for the have-nots," which implements "Just Third Way" strategies around the world to turn non-owners into owners. He is a co-founder of Global Justice Movement.org (based in Canada) and the American Revolutionary Party(.US) launched in April 2005. He has taught binary economics and binary policy reforms in privatization seminars at the International Law Institute in Washington, D.C. In 1985, President Reagan appointed Mr. Kurland as deputy chairman of the bipartisan Presidential Task Force on Project Economic Justice, to promote economic democratization through ESOP reforms in Central America and the Caribbean. He was a close colleague for eleven years of Louis O. Kelso, author of binary economics and inventor of the ESOP. With Kelso, Kurland co-founded the Institute for the Study of Economic Systems. He later became Washington Counsel for Kelso's investment banking firm. Collaborating with Kelso, Kurland authored and lobbied the first and subsequent ESOP legislative initiatives in the U.S. Congress. He is the principal architect of several model ESOPs and legal systems for expanding ownership, as well as: the first ESOP and worker shareholders association in the developing world at the Alexandria Tire Company in Egypt; the "Capital Homestead Act" (a comprehensive package of national monetary and tax reforms); the "Community Investment Corporation" (a vehicle enabling community residents to share land ownership and profits); and "Justice-Based Management" (a system for applying principles of economic justice and building participatory ownership cultures within business corporations). Business Week described Kurland as "the resident philosopher of ESOP in the capital." He was the recipient of CESJ's first Kelso-Ferree Lifetime Achievement Award, an honor he shares with Senator Russell Long, the legendary champion of ESOP on Capitol Hill. Mr. Kurland has authored numerous articles on the Just Third Way, binary economics, capital homesteading and related concepts for universalizing access to capital ownership. He was a contributing author to the 1994 compendium Curing World Poverty: The New Role of Property (John H. Miller, ed., Social Justice Review), and was the principal author of CESJ's comprehensive economic reform agenda, Capital Homesteading for Every Citizen: A Just Free Market Solution for Saving Social Security (Economic Justice Media, 2004). Before joining Kelso, Mr. Kurland was director of planning of the Citizens Crusade Against Poverty, a national coalition headed by the labor statesman Walter Reuther. Before that Mr. Kurland, as a Federal government lawyer, became deeply involved as a civil rights investigator in the Mississippi "one-person, one-vote" movement and later with the core group shaping economic empowerment initiatives in President Johnson's "War on Poverty." He came to Washington in December 1959 after receiving a Doctor of Laws degree from the University of Chicago, where he studied law and economics, following five years as an officer on flying status in the U.S. Air Force.

Billions of Entrepreneurs: How China and India are Reshaping Their Futures an...

Google Tech Talks March 12, 2009 ABSTRACT "Billions of Entrepreneurs: How China and India are Reshaping Their Futures and Yours" Removing half a billion people from poverty and into the productive workforce will profoundly affect on the world economy. India and China are doing just that with insane growth rates and lots of what used to be American jobs: China is the factory floor and India the back-office, software shop. China is top-down party driven. India is a messy, vibrant democracy. This may be the complementary duo that changes the world. Including your world. Come hear Professor Tarun Khanna in a discussion about his book, Billions of Entrepreneurs: How China and India are Reshaping Their Futures and Yours. Called well worth reading by The Economist and entertaining by the Financial Times, Khanna's book shows how Chinese and Indian entrepreneurs are creating change through new business models. Speaker: Tarun Khanna Tarun Khanna is the Jorge Paulo Lemann Professor at the Harvard Business School, where he has studied and worked with multinational and indigenous companies and investors in emerging markets worldwide. He joined the faculty in 1993, after obtaining an engineering degree from Princeton University (1988) and a Ph.D. from Harvard (1993), and an interim stint on Wall Street. During this time, he has served as the head of several courses on strategy and international business targeted to MBA students and senior executives at Harvard. His new book, Billions of Entrepreneurs: How China and India are Reshaping Their Futures and Yours, was published in February 2008 by Harvard Business School Press (Penguin in South Asia), with translations into several languages underway. It focuses on the drivers of entrepreneurship in China and India and builds on over a decade of work with companies, investors and non-profits in developing countries worldwide. His scholarly work has been published in a range of economics and management journals, several of which he also serves in an editorial capacity. Articles in the Harvard Business Review (e.g. China + India: The Power of Two, 2007; Emerging Giants: Building World Class Companies in Emerging Markets, 2006) and Foreign Policy (e.g. Can India Overtake China?, 2003) distill the implications of this research for practicing managers. His work is frequently featured in global news magazines as well as on TV and radio. He serves on the boards and advisory boards of several companies in the financial services, automotive, life sciences and agribusiness sectors. He actively invests in and mentors startups in Asia, and volunteers time with non-profits in India, e.g. the Parliamentary Research Services in New Delhi, which seeks to provide non-partisan research input to Indias Members of Parliament in advance of legislative sessions with a view to enhancing the quality of democratic discourse. In 2007, he was nominated to be a Young Global Leader (under 40) by the World Economic Forum. He makes his home in Newton, MA, with his wife, daughter and son.

The program was announced on January 18, 2006 and successfully flew all cargo demonstration flights by September 2013. NASA has suggested that "Commercial services to ISS will be necessary through at least 2015."COTS is related but separate from the Commercial Resupply Services (CRS) program. COTS relates to the development of the vehicles, CRS to the actual deliveries. COTS involves a number of Space Act Agreements, with NASA providing milestone-based payments. COTS does not involve binding contracts. CRS on the other hand does involve legally binding contracts, which means the suppliers would be liable if they failed to perform. Commercial Crew Development (CCDev) is a related program, aimed specifically at developing crew rotation services. It is similar to COTS-D. All three programs are managed by NASA's Commercial Crew and Cargo Program Office (C3PO). NASA signed agreements with SpaceX and Rocketplane Kistler (RpK) in 2006, but later terminated the agreement with RpK due to insufficient private funding. NASA then signed an agreement with Orbital Sciences in 2008. Independently, NASA awarded contracts for cargo delivery to the International Space Station in December 2008, to Orbital Sciences and SpaceX to utilize their COTS cargo vehicles. NASA's Final Report on the Commercial Orbit Transportation Services program considers it an unqualified success and a model for future public-private collaboration. Compared to traditional costs-plus contracts employed by NASA, such as the $12 billion Orion (spacecraft) contract, the unprecedented efficiency of the $800 million COTS investment resulted in "two new U.S. medium-class launch vehicles and two automated cargo spacecraft".

Specifically, Orch OR proposes that tubulin proteins comprising microtubule cylindrical lattices function as 'bits' -- switching between alternative states (e.g. of 1 or 0), as well as quantum bits or 'qubits' (existing transiently as quantum superposition of both 1 AND 0). Despite increasing evidence for functional quantum effects in warm biological systems, Orch OR has been recently criticized, e.g. in Phys Rev E by McKemmish et al (2009), who claim the nature and energetic requirements for switching of tubulin bits and qubits in microtubules make Orch OR biologically unfeasible and unsalvageable irrespective of any conceivable modification. Here we show that McKemmish et al misrepresent tubulin bit switching as proposed in Orch OR, and merely disprove their own misrepresentation. Specifically we address their allegations regarding regulation of tubulin switching by 1) van der Waals London forces, 2) GTP hydrolysis and 3) Fröhlich coherence, and show how they are wrong on all counts. We clarify certain aspects of tubulin with regard to potential bit/qubit function, and describe topological tubulin qubits specific to microtubule geometry with particular reference to helical ballistic conductance discovered by Bandyopadhyay. Orch OR remains viable and testable. About the speaker: Stuart Hameroff MD is Professor of Anesthesiology and Psychology, and Director of the Center for Consciousness Studies at the University of Arizona Medical Center in Tucson, Arizona. A clinical anesthesiologist, Hameroff's academic research for 35 years has focused on how the brain produces consciousness, and how anesthetic gases selectively erase it. In medical school in the early 1970s Hameroff became interested in microtubules and developed a theory of microtubules as self-organizing molecular automata supporting consciousness and other functions inside brain neurons. In 1987 he authored Ultimate Computing: Biomolecular Consciousness and Nanotechnology, a survey of microtubule capabilities and potentials. In the early 1990s Hameroff teamed with British physicist Sir Roger Penrose to develop the controversial Penrose-Hameroff "Orch OR" model of consciousness based on microtubule quantum computation, a theory bolstered by recent discoveries of warm quantum coherence in biology. Hameroff also organizes the conference series Toward a Science of Consciousness, has written and co-edited 4 other books and numerous research articles, and recently developed the 'conscious pilot', a theory supportive of Orch OR involving spatiotemporal envelopes of dendritic synchrony moving through the brain as a conscious agent.
