The New York Stock Exchange (sometimes referred to as "the Big Board") provides a means for buyers and sellers to trade shares of stock in companies registered for public trading. The NYSE is open for trading Monday through Friday from 9:30 am -- 4:00 pm ET, with the exception of holidays declared by the Exchange in advance. The NYSE trades in a continuous auction format, where traders can execute stock transactions on behalf of investors. They will gather around the appropriate post where a specialist broker, who is employed by an NYSE member firm (that is, he/she is not an employee of the New York Stock Exchange), acts as an auctioneer in an open outcry auction market environment to bring buyers and sellers together and to manage the actual auction. They do on occasion (approximately 10% of the time) facilitate the trades by committing their own capital and as a matter of course disseminate information to the crowd that helps to bring buyers and sellers together. The auction process moved toward automation in 1995 through the use of wireless hand held computers (HHC). The system enabled traders to receive and execute orders electronically via wireless transmission. On September 25, 1995, NYSE member Michael Einersen, who designed and developed this system, executed 1000 shares of IBM through this HHC ending a 203 year process of paper transactions and ushering in an era of automated trading. As of January 24, 2007, all NYSE stocks can be traded via its electronic hybrid market (except for a small group of very high-priced stocks). Customers can now send orders for immediate electronic execution, or route orders to the floor for trade in the auction market. In the first three months of 2007, in excess of 82% of all order volume was delivered to the floor electronically.[23] NYSE works with US regulators like the SEC and CFTC to coordinate risk management measures in the electronic trading environment through the implementation of mechanisms like circuit breakers and liquidity replenishment points.[24] Until 2005, the right to directly trade shares on the exchange was conferred upon owners of the 1366 "seats". The term comes from the fact that up until the 1870s NYSE members sat in chairs to trade. In 1868, the number of seats was fixed at 533, and this number was increased several times over the years. In 1953, the number of seats was set at 1,366. These seats were a sought-after commodity as they conferred the ability to directly trade stock on the NYSE, and seat holders were commonly referred to as members of the NYSE. The Barnes family is the only known lineage to have five generations of NYSE members: Winthrop H. Barnes (admitted 1894), Richard W.P. Barnes (admitted 1926), Richard S. Barnes (admitted 1951), Robert H. Barnes (admitted 1972), Derek J. Barnes (admitted 2003). Seat prices varied widely over the years, generally falling during recessions and rising during economic expansions. The most expensive inflation-adjusted seat was sold in 1929 for $625,000, which, today, would be over six million dollars. In recent times, seats have sold for as high as $4 million in the late 1990s and as low as $1 million in 2001. In 2005, seat prices shot up to $3.25 million as the exchange entered into an agreement to merge with Archipelago and become a for-profit, publicly traded company. Seat owners received $500,000 in cash per seat and 77,000 shares of the newly formed corporation. The NYSE now sells one-year licenses to trade directly on the exchange. Licences for floor trading are available for $40,000 and a licence for bond trading is available for as little as $1,000 as of 2010.[25] Neither are resell-able, but may be transferable in during the change of ownership of a cooperation holding a trading licence. On February 15, 2011 NYSE and Deutsche Börse announced their merger to form a new company, as yet unnamed, wherein Deutsche Börse shareholders will have 60% ownership of the new entity, and NYSE Euronext shareholders will have 40%. On February 1, 2012, the European Commission blocked the merger of NYSE with Deutsche Börse, after commissioner Joaquin Almunia stated that the merger "would have led to a near-monopoly in European financial derivatives worldwide".[38] Instead, Deutsche Börse and NYSE will have to sell either their Eurex derivatives or LIFFE shares in order to not create a monopoly. On February 2, 2012, NYSE Euronext and Deutsche Börse agreed to scrap the merger.[39] In April 2011, IntercontinentalExchange (ICE), an American futures exchange, and NASDAQ OMX Group had together made an unsolicited proposal to buy NYSE Euronext for approximately US$11 billion, a deal in which NASDAQ would have taken control of the stock exchanges.[40] NYSE Euronext rejected this offer two times, but it was finally terminated after the United States Department of Justice indicated their intention to block the deal due to antitrust concerns. http://en.wikipedia.org/wiki/New_York_Stock_Exchange

Script: The Paris climate deal has a lot of people cheering, with world leaders like President Obama painting it as a historic moment…[show short clip from his speech], but what exactly does this agreement do and what does it mean for the world? The major achievement is that for the first time ever virtually all nations committed to reducing their carbon emissions “as soon as possible” and to do their best to keep global warming “to well below two degrees celsius.” If the world can keep temperature rise below two degrees we’ll have a good shot at avoiding the worst. And seeing as though the 1 degree celsius warming that has already occurred has caused us to begin suffering from noticeably more severe weather, this agreement is long overdue. The problem is that it’s not legally binding: it doesn’t create rigid timelines for countries to meet their pledges, pledges that vary wildly from country to country--especially for the BRIC nations that are still developing and are understandably wary of sacrificing their own economic growth for the greater planetary good. That’s why pledges initially made in this deal aren’t anywhere near enough to meet the 2 degree goal. But getting every country to commit to at least some kind of carbon reduction represents huge progress. Wealthier nations, basically the US and Europe, will also contribute significant amounts of money toward helping poorer countries develop clean power systems and reduce deforestation, which is the second largest contributor to climate change after the burning of fossil fuels. The agreement also establishes a transparent method for measuring and assessing how well each country is meeting its targets. And Nations have committed to coming back every five years with new targets that should get increasingly more ambitious as the pace of technological development continues to advance. So even though the Paris agreement didn’t do nearly enough to make sure the problem will be solved once and for all, the bottom line is that, by acting with one unified voice, the governments of the world finally sent a clear message: that the days of burning fossil fuels will quickly be coming to an end. This is what President Obama alluded to when he said: “this agreement sends a powerful signal that the world is firmly committed to a low-carbon future. And that has the potential to unleash investment and innovation in clean energy at a scale we have never seen before.” Companies like Shell, Exxon and BP, and countries like Russia, Saudi Arabia and its Persian Gulf neighbors are going to have to rapidly shift their revenue models toward clean energy, or risk being left behind. Although America was a leader in achieving this result, our work is just beginning. We’ve got to continue to defeat the fossil fuel industry’s attempts to undercut efforts to fight climate change here at home. And the most obvious battle will take place on November 8, 2016, when we can elect a congress and a President who will take the torch from President Obama and continue the clean energy transformation of the world’s largest economy. So that’s what the Paris Climate Agreement is all about--it’s up to us to decide whether it will indeed represent a moment of incredible progress for mankind. Thanks for watching. Boeing's president Raymond Conner signed the agreement with Morocco's industry minister at a ceremony in Tangier attended by the country's king Mohammed VI. Boeing says that through the terms of the agreement, it will support a Moroccan plan to build up its aerospace manufacturing sector, encouraging suppliers to set up or expand here. With a high-quality but cheap workforce, Morocco's aerospace sector has developed rapidly over the past decade. It already has exports worth over a billion dollars annually, say officials. Morocco hopes this agreement will help double that, although the timeframe remains vague. They also say it could bring 8,000 new jobs. Morocco goes to the polls on October 7. Market corrections are normal Over the last 100 years, 5% pullbacks have happened an average of three times a year, almost as often as the seasons change. About once a year, the market pullbacks 10% happen, as often as we celebrate a birthday. And bear market declines greater than 15% happen every three to five years, almost as often as we elect a new president. 2. Market corrections feel scary The devastating bear market in 2008-2009 has made us wary of corrections. Investors are on edge: they fear things could get much worse, and they’re determined to avoid an experience like 2008 again. 3. Market corrections are unpredictable It’s tempting to believe that if we can identify why corrections happen, then we can avoid them in the future. But the reality is, markets often fall even when news looks promising and they often rise even when there are very real concerns. What can you do? Most investors do best if they build a balanced portfolio that has enough stocks to allows them to fund their long-term goals, enough bonds to help buffer declines and enough cash to cover their short-term needs. The last asset is Commodities and this is why I own oil because in the U.S. if you deal in oil, you get tax breaks. Will the deal be accretive or dilutive?" ANSWER: You can’t tell unless it’s a 100% Stock deal. If it is, it will be accretive because the Cost of Acquisition is 1 / 25, or 4%, and the Seller’s Yield is 1 / 15, or 6.7%. Since the Seller’s Yield is higher, it will be accretive. For Cash and Debt deals, or deals with a mix of all three, you’d calculate the Weighted Cost of Acquisition by using Foregone Interest Rate on Cash * (1 – Buyer’s Tax Rate) * % Cash + Interest Rate on Debt * (1 – Buyer’s Tax Rate) * % Debt + 1 / (Buyer’s P / E Multiple) * % Stock and compare that to the Seller’s Yield. Question #2: With Real Numbers “Let’s say it is a 100% Stock deal. The Buyer has 10 shares at a share price of $25.00, and its Net Income is $10. It acquires the Seller for a Purchase Equity Value of $150. The Seller has a Net Income of $10 as well. Assume the same tax rates for both companies. How accretive is this deal?” ANSWER: The buyer’s EPS is $10 / 10 = $1.00. It must issue 6 additional shares to do the deal, so the Combined Share Count is 10 + 6 = 16. Since both companies have the same tax rate and since no Cash or Debt is used, Combined Net Income = $10 + $10 = $20, and Combined EPS = $20 / 16 = $1.25, so the deal is 25% accretive. Question #3: Equity Value, Enterprise Value, and Valuation Multiples “What are the Combined Equity Value and Enterprise Value in this same deal? Assume that Equity Value = Enterprise Value for both the Buyer and Seller.” ANSWER: Combined Equity Value = Buyer’s Equity Value + Value of Stock Issued in the Deal = $250 + $150 = $400. Combined Enterprise Value = Buyer’s Enterprise Value + Purchase Enterprise Value of Seller = $250 + $150 = $400. The Combined EV / EBITDA multiple won’t be affected by the mix of Cash, Stock, and Debt, but the P / E multiple will be. It’s 20x here ($400 / $20), but it will change for non-100%-Stock deals. Question #4: Ranges for the Multiples “Without doing any math, what ranges would you expect for the Combined EV / EBITDA and P / E multiples, and why?” ANSWER: They should be somewhere in between the Buyer’s multiples and the Seller’s purchase multiples. It’s almost never a simple average because of the relative sizes of the Buyer and Seller – and for P / E, the purchase method also plays a role. Question #5: What if the Buyer is Twice as Big? "What happens if the Buyer is twice as big, i.e. it has an Equity Value of $500 and Net Income of $20?" ANSWER: The deal becomes *less* accretive because the company making it accretive, the Seller, now has a lower weighting. The Buyer was previously $250 / $400 of the total, but is now only $500 / $650, which is ~63% vs. ~77%, so we’d expect accretion to fall by 10-15%, which it does. The Combined Multiples will all be closer to the Buyer’s multiples now as well. Recap, Summary, and Key Principles Principle #1: If the Seller’s Yield is above the Weighted Cost of Acquisition, it’s accretive; dilutive if the opposite. Principle #2: Combined Equity Value = Buyer’s Equity Value + Value of Stock Issued in the Deal. Principle #3: Combined Enterprise Value = Buyer’s Enterprise Value + Purchase Enterprise Value of Seller. Principle #4: The Combined P / E Multiple is affected by the Cash / Debt / Stock mix, but the Combined EV / EBITDA Multiple is not. Principle #5: The Combined Multiples will be in between the Buyer’s multiples and the Seller’s purchase multiples – exact numbers depend on sizes of the Buyer and Seller. The tools and practice of valuation is intimidating to most laymen, who assume that they do not have the skills and the capability to value companies. In this talk, I propose to lay out four simple propositions about valuation. The first is that valuation is not an extension of accounting, insofar as it is not about recording the past but forecasting the future. The second is that valuation is not just modeling, where people put numbers into Excel spreadsheets and pump out values. A good valuation requires a narrative that binds the numbers together. The third is that valuing an asset or business is very different from pricing that asset or business, a difference that is often blurred in practice. The fourth is that luck plays a disproportionate role in whether you make money off your valuations. Put differently, you can do everything right and still walk away with nothing or worse at the end. About the Author I view myself, first and foremost, as a teacher. I do teach valuation and corporate finance not only to MBAs at Stern but to anyone who will listen (on iTunes U, online and on YouTube). I love to write books, teaching material and blog posts. After 30 years of teaching finance, I still find it fascinating as an interplay of economics, psychology and number crunching.

I was sitting down for dinner with a friend the other night and he said to me "Brandon, I want to buy my first property but there is so much information out there. I just want to see the whole process, neatly outlined, so I know my step by step plan." And I thought "Isn't' that we all want when learning something new? We want to see the whole picture, not just broken up parts. Today I want to help you do just that -- learn the step by step process for getting your first rental property in the next 90 days. For those of you who like something tangible to look at, at the end of this post I'll show you where you can download a free 1-page PDF summary of this process- neat and clean, just like my buddy ordered. Alright, let's get started. Step one: Get Pre-Approved. Unless you plan on paying cash (which would be great) you are going to need a pre-approval letter from the bank or other lender. We start with this step because I don't want you wasting time only to find out you can't afford it. Your lender will help you know exactly how much cash you'll need. Step Two: Get in Touch With a Real Estate Agent. Don't just call the name on the park bench by your house. Look for an agent who is willing to spend the time needed to help you get the perfect deal. Get recommendations from others and pick someone you get along great with. The best part is, a real estate agent is paid by the seller- so it's free for you to use one! Step Three: Define What You are Looking For. Let your agent know exactly what kind of property you are interested in. If it's a duplex, you don't want to waste time looking at single family homes. And vise versa. Step Four: Start Looking Yes, you'll actually need to spend some afternoons with your real estate agent looking at potential properties. And like dating, the more you look at, the better you'll recognize "The right one" when it comes along. Don't be afraid of looking at properties that might need a little TLC, but don't get in over your head either. Once you find the right one, you'll need to do Step Five, which is Step Five: Do The Math A rental property is only as strong as it's math. (yes, you should Tweet that) Run the numbers and make sure it pencils out. Be conservative, and be sure to plan for property management, vacancy, repairs, and more. I'd recommend running the numbers through a good property analysis tool, like The BiggerPockets Rental Property Calculator to make sure you are looking at all the facts and figures. Moving On Step Six: Make an Offer Okay repeat after me: I WILL NOT OVERPAY Negotiate with the seller and stick to your math from step 5. You might go back and forth a few times, and you might even lose the deal and have to start over. But whatever you do ... Do Not Overpay. Soon enough you'll get an offer accepted and you'll be ready to move on to Step Seven: Do Your Due Diligence At this point, you want to make sure there are no hidden surprises at the property. Hire a property inspector to walk through every inch of the property looking for potential problems. If you find any, either : suck it up if it's not too bad, ask the seller to fix it if it is bad, and if it's really bad -- walk away. During this time your agent will help you shuffle the correct paperwork between them, your lender, and your title company. Step 8: Close on the Property It's been a journey, but finally you are ready to close. You'll show up to the Title Company (or attorney) and they'll take care of the rest. You might even get some chocolate at the front desk! Once the title and deed are recorded at the county, you'll get the keys and be the proud owner of your very own rental property! Now comes the fun part -- managing your properties. And for tips on that, you'll have to wait for another blog post! What is an Investment Vehicle? An investment vehicle is usually a security or derivative used by investors in order to achieve positive returns. Investment vehicles can be low risk, such as certificates of deposit or short term treasury bonds, or have a greater degree of risk that includes stocks, private equity, options, and futures. Other types of investment vehicles include annuities, real estate, index funds, and exchange-traded funds . An investment vehicle can be rigidly structured like an asset-backed security or structured more basic like a stock or bond. The goal when one uses an investment vehicle is to get capital in order to invest in an asset of their choice to generate a profit. Also, an investment vehicle could include the purchase of a debt obligation, which has someone make a repayment with interest, or another option which involves buying an ownership stake in a business with the idea that the business will generate a positive profit.
