Joshua Hunt: "University of Nike - How Corporate Cash Bought [...]" | Talks at Google

53:26
In the mid-1990s, facing severe cuts to its public funding, the University of Oregon—like so many colleges across the country—was desperate for cash. Luckily, the Oregon Ducks’ 1995 Rose Bowl berth caught the attention of the school’s wealthiest alumnus: Nike founder Phil Knight, who was seeking new marketing angles at the collegiate level. And so the University of Nike was born: Knight has so far donated more than half a billion dollars to the school in exchange for high-visibility branding opportunities. But as journalist Joshua Hunt shows in University of Nike, Oregon has paid dearly for the veneer of financial prosperity and athletic success that has come with this brand partnering. LLC Operating Agreement (template + instructions)

Operating Agreement Download (Word Doc): https://www.llcuniversity.com/wp-content/uploads/Free-LLC-Operating-Agreement-v1.1.doc Operating Agreement Download (PDF): https://www.llcuniversity.com/wp-content/uploads/Free-LLC-Operating-Agreement-v1.1.pdf Operating Agreement Download (Google Docs): https://docs.google.com/document/d/1W8Fc-ksM4YQ8hAYWSE0yBLJQ0FyG1dJJuP6ZUod5fp0/copy Our website: https://www.llcuniversity.com [=================================] -- WHAT IS AN LLC OPERATING AGREEMENT? -- An Operating Agreement is an agreement for the member(s) of your LLC that sets forth how the LLC will be managed both financially and operationally. Your Operating Agreement also spells out how much of the LLC each member owns. You can have 1 member who owns 100%, you can have 2 members with a 50/50 split, 60/40, 70/30 (anything really!), or you can have 3 or more members and you can split the ownership any way you’d like. The LLC is a flexible business structure. There is no limit on the number of members you can have. And, there are no restrictions on how you split the ownership of the company. [=================================] -- OPERATING AGREEMENT IS AN “INTERNAL DOCUMENT” Unlike your LLC Formation Documents, the Operating Agreement does not need to be mailed anywhere. You do not need to mail it to the State. You do not need to mail it to the IRS. It is strictly an “internal document”. This means that you will just keep a copy with your other business documents. [=================================] -- PURPOSE OF THE LLC OPERATING AGREEMENT -- Again, the purpose of the Operating Agreement is to spell out who the member(s) are and what percentage of the LLC they own, also known as their “membership interest”. It also defines how the LLC is managed, how taxes are paid, and how profits and losses are distributed amongst the member(s). Remember, your LLC can be owned by one person (called a Single-Member LLC) or your LLC can be owned by 2 or more people (called a Multi-Member LLC). [=================================] -- WHAT YOU NEED FOR YOUR LLC OPERATING AGREEMENT -- In order to complete your Operating Agreement, you will need some basic information. • The formation date of your LLC. • The name and address of the Registered Office and Registered Agent. • The general business purpose of the LLC. • Member(s) percentages of ownership. • Names of the Members and their addresses. Your final Operating Agreement is not “set in stone”. You can make changes as needed. [=================================] -- MAKING CHANGES TO YOUR LLC OPERATING AGREEMENT -- One of the benefits of forming an LLC is the flexibility of managing your business. The Operating Agreement is a working document that is meant to be fluid and allow for changes as your business grows. If you want to make simple changes (such as a change of address for a member or changing your Registered Office or Registered Agent), you’ll need to revise the original Operating Agreement. If, however, you need to make complex changes (for example one member purchases the interests of another member, or you decide to raise financing with investors), it is best to hire an attorney. Making changes like these can have negative legal and tax consequences if done incorrectly. Once all changes are made, you’ll need to print the new Operating Agreement and have all of the members sign it. It is best practice to keep a copy of all versions of your Operating Agreement so you have a history of the changes that were made. [=================================] -- WHO NEEDS YOUR LLC OPERATING AGREEMENT? -- You may need to provide a copy of your Operating Agreement to: • A lender if you are obtaining financing • A title company if you are purchasing real estate • Accounting and tax professionals for financial assistance • Lawyers for legal advice • Potential investors or partners who have an interest in your business [=================================] -- OPERATING AGREEMENT PROTECTS YOUR ASSETS -- If you’re involved in a legal battle, the Court will likely ask for your LLC’s Operating Agreement. Having one can help prove to the Court that you have a legitimate LLC and that you are running your business properly. If the Courts were to find you running an LLC without an Operating Agreement, they may go after your personal assets. [=================================] -- DISCLAIMER -- This information is provided for educational purposes only and in no way constitutes legal, tax, or financial advice. For legal, tax, or financial advice specific to your business needs, we encourage you to consult with a licensed attorney and/or CPA in your state. Academic Research Is Suppressed in the Name of Corporate Profits: University, Education (2005)

48:59
Higher education, post-secondary education, or third level education is an optional final stage of formal learning that occurs after secondary education. About the book: https://www.amazon.com/gp/product/0465090516/ref=as_li_tl?ie=UTF8&camp=1789&creative=9325&creativeASIN=0465090516&linkCode=as2&tag=tra0c7-20&linkId=9a40cb50e6cd83eb4d41371095425b19 Often delivered at universities, academies, colleges, seminaries, and institutes of technology, higher education is also available through certain college-level institutions, including vocational schools, trade schools, and other career colleges that award academic degrees or professional certifications. Tertiary education at non-degree level is sometimes referred to as further education or continuing education as distinct from higher education. The right of access to higher education is mentioned in a number of international human rights instruments. The UN International Covenant on Economic, Social and Cultural Rights of 1966 declares, in Article 13, that "higher education shall be made equally accessible to all, on the basis of capacity, by every appropriate means, and in particular by the progressive introduction of free education". In Europe, Article 2 of the First Protocol to the European Convention on Human Rights, adopted in 1950, obliges all signatory parties to guarantee the right to education. In the days when few pupils progressed beyond primary education, the term "higher education" was often used to refer to secondary education, which can create some confusion. Rupert I founded the University of Heidelberg in 1386 Higher education includes teaching, research, exacting applied work (e.g. in medical schools and dental schools), and social services activities of universities. Within the realm of teaching, it includes both the undergraduate level, and beyond that, graduate-level (or postgraduate level). The latter level of education is often referred to as graduate school, especially in North America. Since World War II, developed and many developing countries have increased the participation of the age group who mostly studies higher education from the elite rate, of up to 15 per cent, to the mass rate of 16 to 50 per cent. In many developed countries, participation in higher education has continued to increase towards universal or, what Trow later called, open access, where over half of the relevant age group participate in higher education. Higher education is important to national economies, both as an industry, in its own right, and as a source of trained and educated personnel for the rest of the economy. College educated workers have commanded a measurable wage premium and are much less likely to become unemployed than less educated workers. However, the admission of so many students of only average ability to higher education inevitably requires a decline in academic standards, facilitated by grade inflation. Also, the supply of graduates in many fields of study is exceeding the demand for their skills, which aggravates graduate unemployment and underemployment, as well as credentialism and educational inflation. From the early 1950s to the present, more and more people in the United States have gone on to pursue degrees or certificates of higher education. However this has sparked some debate in recent years as some advocates say that a degree is not what it was once worth to employers. To clarify some advocates say that the financial costs that universities require from their students has gone up so dramatically that it is leaving many students in debt of loans of an average of $33,000. Advocates advise parents to not send their children to college unless these children are committed to pursuing their future education. An increasing number of freshman every year drop out of their perspective programs or do not possess the maturity to have a balanced life away from home. However statistics from the U.S. Bureau of Labor Statistics indicate that the college educated are employed at a rate nearly twice that of the national average when compared to high school graduates. The type of degree one pursues will determine how safe and prosperous his/her career path is. A study, published by the Pew Charitable Trusts, shows that among Americans ages 21 to 24, the drop in employment and income was much steeper among people who lacked a college degree. "Among those whose highest degree was a high school diploma, only 55% had jobs even before the downturn, and that fell to 47% after it. For young people with an associates degree, the employment rate fell from 64 to 57. Bachelor's degree slipped from 69 to 65." Professor Lisa Kahn of Yale stated that people who graduated from college in the most recent recession were in a position to gain better security than others. https://en.wikipedia.org/wiki/Higher_education Image By Leoncio 08. Why College Is So Expensive In America

18:05
College in the United States is expensive. The cost of higher education just keeps going up. Tuition costs at both public and private universities have doubled since the late 80s, while accounting for inflation. "I think that it's so ingrained in your head that you have to go to college, that college is the next step after graduation," said Jarret Freeman, a college graduate with roughly $50,000 in student debt. "I think in hindsight, I see that college is not for everyone." But a college education is becoming more and more necessary to succeed in today's economy. Georgetown University estimates that by 2020, 65 percent of all jobs will require more than a high school degree. Students graduate with an average of $37,172 in student loan debt. It all adds up to $1.5 trillion across the country. Watch the video above to learn how higher education became big business, hear from former students facing mounting debt and explore why it's so important to solve the student debt crisis.» Subscribe to CNBC: http://cnb.cx/SubscribeCNBC About CNBC: From 'Wall Street' to 'Main Street' to award winning original documentaries and Reality TV series, CNBC has you covered. No Cuts, No Fees, No Corporate Universities - Students NDA against budget (Melbourne)

02:55
The Abbott government's first budget has heralded in the worst attacks on students in decades: 1.The government will be lowering their contribution to HECS by 20% 2.They are removing caps on fees so universities will be able to charge students WHATEVER THEY WANT 3.The interest rate on HECS will be increased and will be determined by the bond rate. ie. the private market. Students will have no idea what their HECS debt will soar to in the future 4.Private providers will be brought into the government scheme so that public money will be funelled towards private shonky "educational" instituions and away from public education. The government has shown no moderation and has chosen to implement the most savage aspects of the Commission of Audit and the Kemp-Norton review. Christopher Pyne, who went to university for next to nothing, is increasing fees to historic levels and is bringing in a US style education system. Elite universities will become the preserve of the rich and poorer students will be priced out of the education they deserve whilst still being burdened by more debt than ever before. Students need to stand up to these savage attacks! We demand: -No fee hikes! -No deregulation! -No US model! -Education for all! -Step down, Pyne! He writes on contract theory, corporate law, and business judgment, with focus on the overlap between business and legal decision-making. He is the author of Beyond Legal Reasoning: a Critique of Pure Lawyering (Routledge, 2017), and a co-author of the casebook, Unincorporated Business Entities (LexisNexis), and the ABA publication, Becoming a Law Professor. He is a frequent guest blogger on PrawfsBlawg. Before becoming a full-time academic in 2007, Professor Lipshaw spent twenty-six years as a lawyer and business executive, most recently serving as Senior Vice-President, General Counsel, and Secretary for Great Lakes Chemical Corporation, a Fortune 850 company based in Indianapolis, Indiana, and listed on the New York Stock Exchange. There he counseled the company’s Board of Directors in its compliance with Sarbanes-Oxley and NYSE governance requirements, led the company’s efforts in significant acquisitions and dispositions, and managed a law department with an internal and external annual budget of over $10 million. Professor Lipshaw began his career in 1979 at the law firm of Dykema Gossett in Detroit, where he was a partner in the litigation and corporate groups, and served from 1993 to 1997 as the Vice President & General Counsel of AlliedSignal Automotive, a large auto parts manufacturer. Sponsor Me - How to get companies to sponsor your events - Ask Evan

http://www.evancarmichael.com/support/ - SUPPORT ME :) Like this video? Please give it a thumbs up below and/or leave a comment - Thank you!!! In this video I answer a question from one my readers who asked: "Hello Evan, I am Tomal Dass from India. I always love to read all your articles about business and entrepreneurial leadership. It always fills me with new energy. It helps me a lot to learn a lot from the experiences of well known businessmen arround the world. Recently I was working in a partnership in event management business, We were new in the market and we didn't have any capital to rotate in Business. We were working to start a music festival in Central India. I belong to the city named Indore. It is the business capital of India and I figured out that there is a great scope in this region for a musical festival as there is no competition in this sector. We tried to go for sponsorship for bigger companies who's products are related to youth, as musical festival is related to youth. We were unable to generate any fund out of that. I thought may be we were new to this market that is why companies were not sponsoring us. Then we went for local businessmen for sponsorships and this one also didn't worked. So finally I planned for doing something off the grid. I planned to take a loan of 20% money for the event and ask any bigger Business firm to give their names for the sponsorships for free so that other business firms would also sponsor us. Then I dropped that idea because i didn't know that it's ethically right or not and will it work or not. Please guide me with this if you can. I would learn more from your articles. Regards, Tomal"

Richard Wolff On Why Corporate Leaders Are Not Nice People

Captains of the industry make sure markets are at their peak efficiency. After all, what is efficiency, exactly, if not passing on the price of $1500-a-night-hookers and yachts on a medication consumer? Peasants have nowhere else to go. Bernie Sanders' 2016 Advisor On Trump's Economy And Modern Monetary Theory

18:34
Modern Monetary Theory (MMT) is gaining traction in American politics, energizing the progressive left and roiling deficit hawks. Stephanie Kelton, who advised Bernie Sanders' 2016 presidential campaign, explains the basics. She also talks about 2020, saying Democrat presidential hopefuls are swinging for the fences with ambitious policy proposals while Trump appears to have changed his thinking on the deficit and debt since his 2016 run. On headwinds facing the economy, Kelton says she sees an "extraordinarily resilient" U.S. economy despite a "real" global slowdown and a small chance of additional rate hikes from the Fed. With U.S. government deficits increasing again and big spending plans coming from potential Democratic presidential candidates, we thought it would be prudent to have a conversation with Stephanie Kelton. She's a proponent of Modern Monetary Theory (MMT), the economic rational cited by rising political stars like Rep. Alexandria Ocasio-Cortez D-N.Y. Kelton currently works as a professor of public policy and economics at Stony Brook University. Legal vs. Ethical Liability: A Crisis of Leadership and Culture | Mel Fugate | TEDxSMU

15:06
Professor Fugate argues that leaders at all levels and across industries need to focus on ethical liability above and beyond legal liabilities for themselves and their organizations. Ethical liability tests the true character of a leader and determines the character and quality of an organization’s culture. He illustrates this point in the context of higher education, where he contends a lack of accountability has led to a crisis of leadership and culture. Fugate uses scandals in college sports as common examples of a pervasive and larger problem of university leadership (at all levels) that fails to meet its ethical liabilities. He outlines a number of potential causes for the patterns of unethical behavior in higher education and also provides a few suggestions on how to overcome the challenges of this crisis. Mel Fugate is an associate professor of Management and Organizations in the Cox School of Business at Southern Methodist University. His research and consulting aim to enhance individual and organizational performance by utilizing a variety of practical, research-based tools related to leadership development, organizational change, performance management, organizational culture, and employee engagement. His research and consulting span many industries (e.g., legal, energy, healthcare, information technology, and financial services) and often involve organizational assessments intended to measure the human resource health of organizations. He has published in and reviewed for a number of premier management and applied psychology journals and is a coauthor of a new book—“Organizational Behavior: A Practical, Problem Solving Approach.” Professor Fugate is an award-winning teacher who has taught in both the United States and France. Hundred Bagger Secrets: Strong, Performance-Focused Corporate Culture

02:12
Subscribe to SixJupiter's Hundred Bagger Watchlist: https://www.sixjupiter.com Ultimately, a big part of the secret to finding hundred baggers is simply to find great companies before other investors do. While many signs of great companies in the making ultimately show up in financial statements, there are others that do not. For instance, a strong internal culture featuring employees with high morale is a hallmark of companies on the hundred bagger trajectory. John Kotter, co-author of the book "Corporate Culture and Performance," wrote in an article for Forbes.com: "We argued that strong corporate cultures that facilitate adaptation to a changing world are associated with strong financial results. We found that those cultures highly value employees, customers, and owners and that those cultures encourage leadership from everyone in the firm." https://www.forbes.com/sites/johnkotter/2011/02/10/does-corporate-culture-drive-financial-performance/#99989ba7e9e9 Kotter and Heskett even conducted a study of firms with such cultures, comparing them against a sample of firms that do not have such cultures. Even after controlling for other variables, they found that the strong culture cohort experienced more than 4 times revenue growth, over 12 times share price growth, and a stagging 756 times earnings growth relative to the weaker culture cohort over the long term. SixJupiter's artificial intelligence uses data from Glassdoor to understand which companies have the kinds of culture and employee morale needed to generate outperformance. Glassdoor data has been shown to correlate with stock price performance. A 2017 research paper published at the University of East Anglia found that companies with high employee satisfaction significantly outperformed the market over the eight year period observed. https://www.sciencedirect.com/science/article/pii/S0165176517304433 The authors of the study concluded that "Employees' online reviews are good predictors of a firm's financial results and, consequently, of value-relevance for investors." https://www.glassdoor.com/research/satisfied-employees-drive-business-results/ SixJupiter is continually scouring the market of exchange traded US companies to find stocks that meet the attributes of hundred baggers. ECO15 London: Corporate VC Panel Baker Botts Inven Capital Siemens Sonnen

34:17
Startups need corporates and corporates need startups. At ECO15 London, Tim Lafferty (Global Corporate Venturing) moderates an exciting corporate VC panel featuring Neil Foster (Baker Botts), Petr Mikovec (Inven Capital), Michael Hochholzer (Siemens Venture Capital) and Oliver Koch (Sonnen). It is a good idea to get in touch and start building relationships with corporates in the early stage of the startup. Even if corporates tend to invest at a later stage in a syndicate with financial VCs and other corporates, the strategic alignment of interests between corporates and startups is a key success factor and needs time to be elaborated well. A corporate minority investment usually doesn’t lead to an acquisition. For example, Siemens acquires around 10% of their portfolio companies and this seems to be the industry average. The contractual relationship between startups and corporates should be designed in a smart way that guarantees the strategic and operative freedom of the startup. Every line in the term sheet is flexible if experienced entrepreneurs with good lawyers sit at the table and multiple investors are interested in participating in the startup: Rights of first refusal can be negotiated out and liquidation preferences should not be higher than 1x. Janewa Osei-Tutu on Socially Responsible Corporate IP

37:02
In this episode, J. Janewa Osei-Tutu, Associate Professor of Law at Florida International University College of Law, discusses her article "Socially Responsible Corporate IP," which will be published in the Vanderbilt Journal of Entertainment and Technology Law. Osei-Tutu begins by describing the concept of "corporate social responsibility" and how it relates to the shareholder theory of the corporation. She then explains how different intellectual property regimes can conflict with social welfare and create obligations for corporations, using examples from Canada, Australia, and Ghana. And she closes by reflecting on why and how corporations should take social responsibility into account when managing and using different forms of intellectual property. Osei-Tutu is on Twitter at @ResponsibleIP and her scholarship is available on SSRN.
