Your Operating Agreement also spells out how much of the LLC each member owns. You can have 1 member who owns 100%, you can have 2 members with a 50/50 split, 60/40, 70/30 (anything really!), or you can have 3 or more members and you can split the ownership any way you’d like. The LLC is a flexible business structure. There is no limit on the number of members you can have. And, there are no restrictions on how you split the ownership of the company. [=================================] -- OPERATING AGREEMENT IS AN “INTERNAL DOCUMENT” Unlike your LLC Formation Documents, the Operating Agreement does not need to be mailed anywhere. You do not need to mail it to the State. You do not need to mail it to the IRS. It is strictly an “internal document”. This means that you will just keep a copy with your other business documents. [=================================] -- PURPOSE OF THE LLC OPERATING AGREEMENT -- Again, the purpose of the Operating Agreement is to spell out who the member(s) are and what percentage of the LLC they own, also known as their “membership interest”. It also defines how the LLC is managed, how taxes are paid, and how profits and losses are distributed amongst the member(s). Remember, your LLC can be owned by one person (called a Single-Member LLC) or your LLC can be owned by 2 or more people (called a Multi-Member LLC). [=================================] -- WHAT YOU NEED FOR YOUR LLC OPERATING AGREEMENT -- In order to complete your Operating Agreement, you will need some basic information. • The formation date of your LLC. • The name and address of the Registered Office and Registered Agent. • The general business purpose of the LLC. • Member(s) percentages of ownership. • Names of the Members and their addresses. Your final Operating Agreement is not “set in stone”. You can make changes as needed. [=================================] -- MAKING CHANGES TO YOUR LLC OPERATING AGREEMENT -- One of the benefits of forming an LLC is the flexibility of managing your business. The Operating Agreement is a working document that is meant to be fluid and allow for changes as your business grows. If you want to make simple changes (such as a change of address for a member or changing your Registered Office or Registered Agent), you’ll need to revise the original Operating Agreement. If, however, you need to make complex changes (for example one member purchases the interests of another member, or you decide to raise financing with investors), it is best to hire an attorney. Making changes like these can have negative legal and tax consequences if done incorrectly. Once all changes are made, you’ll need to print the new Operating Agreement and have all of the members sign it. It is best practice to keep a copy of all versions of your Operating Agreement so you have a history of the changes that were made. The Abbott government's first budget has heralded in the worst attacks on students in decades: 1.The government will be lowering their contribution to HECS by 20% 2.They are removing caps on fees so universities will be able to charge students WHATEVER THEY WANT 3.The interest rate on HECS will be increased and will be determined by the bond rate. ie. the private market. Students will have no idea what their HECS debt will soar to in the future 4.Private providers will be brought into the government scheme so that public money will be funelled towards private shonky "educational" instituions and away from public education. The government has shown no moderation and has chosen to implement the most savage aspects of the Commission of Audit and the Kemp-Norton review. Christopher Pyne, who went to university for next to nothing, is increasing fees to historic levels and is bringing in a US style education system. Elite universities will become the preserve of the rich and poorer students will be priced out of the education they deserve whilst still being burdened by more debt than ever before. Tertiary education at non-degree level is sometimes referred to as further education or continuing education as distinct from higher education. The right of access to higher education is mentioned in a number of international human rights instruments. The UN International Covenant on Economic, Social and Cultural Rights of 1966 declares, in Article 13, that "higher education shall be made equally accessible to all, on the basis of capacity, by every appropriate means, and in particular by the progressive introduction of free education". In Europe, Article 2 of the First Protocol to the European Convention on Human Rights, adopted in 1950, obliges all signatory parties to guarantee the right to education. In the days when few pupils progressed beyond primary education, the term "higher education" was often used to refer to secondary education, which can create some confusion. Since World War II, developed and many developing countries have increased the participation of the age group who mostly studies higher education from the elite rate, of up to 15 per cent, to the mass rate of 16 to 50 per cent. In many developed countries, participation in higher education has continued to increase towards universal or, what Trow later called, open access, where over half of the relevant age group participate in higher education. Higher education is important to national economies, both as an industry, in its own right, and as a source of trained and educated personnel for the rest of the economy. College educated workers have commanded a measurable wage premium and are much less likely to become unemployed than less educated workers. However, the admission of so many students of only average ability to higher education inevitably requires a decline in academic standards, facilitated by grade inflation. Also, the supply of graduates in many fields of study is exceeding the demand for their skills, which aggravates graduate unemployment and underemployment, as well as credentialism and educational inflation. From the early 1950s to the present, more and more people in the United States have gone on to pursue degrees or certificates of higher education. However this has sparked some debate in recent years as some advocates say that a degree is not what it was once worth to employers. To clarify some advocates say that the financial costs that universities require from their students has gone up so dramatically that it is leaving many students in debt of loans of an average of $33,000. Advocates advise parents to not send their children to college unless these children are committed to pursuing their future education. An increasing number of freshman every year drop out of their perspective programs or do not possess the maturity to have a balanced life away from home. However statistics from the U.S. Bureau of Labor Statistics indicate that the college educated are employed at a rate nearly twice that of the national average when compared to high school graduates. The type of degree one pursues will determine how safe and prosperous his/her career path is. A study, published by the Pew Charitable Trusts, shows that among Americans ages 21 to 24, the drop in employment and income was much steeper among people who lacked a college degree. "Among those whose highest degree was a high school diploma, only 55% had jobs even before the downturn, and that fell to 47% after it. For young people with an associates degree, the employment rate fell from 64 to 57. Bachelor's degree slipped from 69 to 65." It may consist of formal university or college training or informal training provided by non-collegiate institutions. The simplest form of corporate education may be training programs designed "in-house" for an organization that may wish to train their employees on specific aspects of their job processes or responsibilities. More formal relationships may further exist where corporate training is provided to employees through contracts or relationships with educational institutions who may award credit, either at the institution or through a system of CEUs (Continuing Education Units). Many institutions or trainers offering corporate education will provide certificates or diplomas verifying the attendance of the employee. Some employers use corporate and continuing education as part of a holistic human resources effort to determine the performance of the employee and as part of their review systems. Increasingly organisations appear to be using corporate education and training as an incentive to retain managers and key employees within their organisation. This win-win arrangement creates better educated managers for the organisation and provides the employees with a more marketable portfolio of skills and, in many cases, recognised qualifications. Most organisations tend to think of corporate education as corporate training. Corporate training programs are often competency based and related to the essential training employees need to operate certain equipment or perform certain tasks in a competent, safe and effective manner. The outcome of a corporate training program is a participant who is either able to operate a piece of equipment or perform a specific task in an effective manner according to pre-determined training criteria. The primary role of corporate training is to ensure an employee has the knowledge and skills to undertake a specific operation to enable an organisation can continue to operate. Fundamentally, corporate training is centred on knowledge transfer, with an instructor teaching or demonstrating a particular function and the student learning and demonstrating they can apply what they have learnt to a particular operation. Corporate education, however, adds another dimension and depth to training by involving learners as participants in generating new knowledge that assists an organisation to develop and evolve, rather than maintain the status quo. Corporate education focuses on developing the capability of an organisation to be able to do things and, in particular, the right things in order to be a sustainable and successful organisation. Corporate education involves a facilitator, rather than an instructor or trainer, to engage participants and encourage them to think about the what, how and why of what they are doing and to challenge their current paradigms. Corporate education is centred on introducing learning techniques to stimulate employees to think about what their organisation does, where it is heading, potential new opportunities for the organisation and new and better ways of doing things. While the role of corporate training is to develop the operational competency of individuals, the purpose of corporate education is to promote the development of capability of both an individual and their organisation. Increasingly organisations appear to be using corporate education as an incentive to retain managers and key employees within their organisation. This win-win arrangement creates better educated managers and employees for the organisation and gives individual employees a more marketable portfolio of skills and, in many cases, recognised qualifications.

Jeffrey Lipshaw is Professor of Law at the Suffolk University Law School in Boston, where he teaches contract law and courses in the business curriculum. He writes on contract theory, corporate law, and business judgment, with focus on the overlap between business and legal decision-making. He is particularly interested in the theoretical and practical implications of having been trained merely to “think like a lawyer” when confronting uncertainty and making decisions in business transactions. He is the author of Beyond Legal Reasoning: a Critique of Pure Lawyering (Routledge, 2017), and a co-author of the casebook, Unincorporated Business Entities (LexisNexis), and the ABA publication, Becoming a Law Professor. His articles have appeared in peer-reviewed journals such as Law, Culture, and the Humanities, the Canadian Journal of Law & Jurisprudence, and the Journal of Law & Religion. In addition, he has published in the Minnesota Law Review, Illinois Law Review, University of Cincinnati Law Review, Penn State Law Review, Seton Hall Law Review, Connecticut Law Review, Southern California Interdisciplinary Law Journal, Delaware Journal of Corporate Law, Temple Law Review, and other student-edited journals. Professor Lipshaw was a founding co-editor of the Legal Profession Blog, an inductee in the ABA Journal’s Blawg 100 Hall of Fame. He was also a co-editor, with William Henderson and Jerry Organ, of The Legal Whiteboard, a blog about trends, facts, and ideas in law and legal education. He is a frequent guest blogger on PrawfsBlawg. Before becoming a full-time academic in 2007, Professor Lipshaw spent twenty-six years as a lawyer and business executive, most recently serving as Senior Vice-President, General Counsel, and Secretary for Great Lakes Chemical Corporation, a Fortune 850 company based in Indianapolis, Indiana, and listed on the New York Stock Exchange. There he counseled the company’s Board of Directors in its compliance with Sarbanes-Oxley and NYSE governance requirements, led the company’s efforts in significant acquisitions and dispositions, and managed a law department with an internal and external annual budget of over $10 million. Professor Lipshaw began his career in 1979 at the law firm of Dykema Gossett in Detroit, where he was a partner in the litigation and corporate groups, and served from 1993 to 1997 as the Vice President & General Counsel of AlliedSignal Automotive, a large auto parts manufacturer. Before coming to Suffolk, he was a visiting professor at the Wake Forest and Tulane law schools. He is a 1976 graduate of the University of Michigan, and a 1979 graduate of the Stanford Law School. Corporate travel management (CTM) is the function of managing a company’s strategic approach to travel (travel policy), the negotiations with all vendors, day-to-day operation of the corporate travel program, traveler safety and security, credit-card management and travel and expenses ('T&E') data management. CTM should not be confused with the work of a traditional Travel Agency. While agencies provide the day-to-day travel services to corporate clients, they are the implementing arm of what the corporation has negotiated and put forth in policy. In other words, CTM decides on the class of service which employees are allowed to fly, negotiates corporate fares/rates with airlines and hotels and determines how corporate credit cards are to be used. The agency on the other hand makes the actual reservation within the parameters given by the corporation. For many companies T&E costs represent the second highest controllable annual expense, exceeded only by salary and benefits, and is commonly higher than IT or real estate costs. T&E costs are not only limited to travel (airline, rail, hotel, car rental, ferry/boat, etc.) but include all costs incurred during travel such as staff and client meals, taxi fares, gratuities, client gifts, supplies (office supplies and services), etc. Furthermore, this area often includes meeting management, traveler safety and security as well as credit card and overall travel data management. The management of these costs are usually handled by the Corporate Travel Manager, a function which may be part of the Finance, HR, Procurement or Administrative Services Department. Many companies, especially large multinationals (MNC), opt for global consolidation of their travel procurement. In other words, they may choose to put their entire purchasing of travel arrangements in the hands of one Travel Management Company (TMC). This is almost always done with a global Request for Proposal (RFP), through which the company will invite major TMCs to participate in the RFP. The process and the selection of the TMC could take several months. Once the company has chosen its TMC, the handling of their travel arrangements will be handled by the selected TMC through out the world. There could of course be exceptions in certain countries. The advantages of a global consolidation lie in the game of numbers: the company will be able to bring to the table, the advantage of global numbers, when negotiating with suppliers. These negotiations could include airlines, hotel chains, individual hotels (for specific reasons), car-rental companies etc. The main goal of going the route of global consolidation is to create savings in the company's T&E budget. The implementation of corporate travel management is often delegated to Travel Management Companies (TMC). These companies use Global Distribution Systems (GDS) to book flights for their clients. This allows the travel consultant to compare different itineraries and costs by displaying availability in real-time, allowing users to access fares for air tickets, hotel rooms and rental cars simultaneously. Examples of these companies include ATPI.

The New York Times investigation reveals that Facebook hired the Republican opposition-research firm Definers Public Affairs to discredit critics of Facebook, linking them to the billionaire liberal donor George Soros. Facebook also allegedly lobbied the Anti-Defamation League to condemn criticism of the company as anti-Semitic. Since the publication of the investigation, Facebook has announced it will cut ties with Definers. We speak with Rashad Robinson, president of Color of Change, one of the organizations targeted by Definers Public Affairs. We also speak with Siva Vaidhyanathan, the author of “Antisocial Media: How Facebook Disconnects Us and Undermines Democracy.” He is a professor of media studies and director of the Center for Media and Citizenship at the University of Virginia. Professor Thomas M. Jones is the Chairman of the Management and Organization Department and the Boeing Endowed Professor of Business Administration at the University of Washington in Seattle. He serves as an Academic Advisor with the Business Roundtable Institute for Corporate Ethics. His Ph.D. is from the University of California -- Berkeley in the Political, Social, and Legal Environment of Business. His research interests include stakeholder theory (including simulation models), business ethics (including ethical decision making models), corporate social performance, corporate governance, legal ethics, and shareholder litigation. He has published numerous articles in scholarly journals including the Academy of Management Review, the Academy of Management Journal, Organization Science, the Business Ethics Quarterly, the Journal of Management Studies, and the Journal of Business Ethics as well as two law reviews. He was the Connelly Endowment Visiting Scholar at Georgetown University in 1999 and is listed in Who's Who in the Management Sciences. He won the UW Business School Dean's Faculty Research Award in 2000 as well as the Dean's Citizenship Award in 2003.

Rich Appelbaum is a Professor Emeritus of Sociology and Global Studies at UCSB, and co-founder of the University’s Global and International Studies Program. He received his B.A. from Columbia University, M.P.A. from Princeton University's Woodrow Wilson School of Public and International Affairs, and Ph.D. from the University of Chicago. Throughout his distinguished career in academia, Appelbaum has published numerous books and articles on topics spanning homelessness and urban development, labor policy, and the economic impact of globalization. In addition to serving as the co-principal investigator at the NSF-funded Center for Nanotechnology in Society, Appelbaum oversees two major research projects investigating labor conditions and the development of high-tech industries in the Asian-Pacific Rim. EY is one of the huge firms working on four sectors : auditing, tax, consulting, and financial consulting The profile was for ITRA(IT Risk and Assurance). The cut-off set for the profile was 60% and the placement procedure consisted of two Group discussions and one interview. Group discussions are generally carried out with basic topics like ‘e-commerce’. Group discussions must be handled stress-free and with honed up focus. Group discussions are easy to crack when you start or conclude the discussion in an attention-grabbing way. The Group discussion must be sustained in an active way avoiding the boring stuffs. The second round was the Personal interview which started with HR interview which involved basic questions like “tell me about yourself?” to “What are your hobbies?”. One of the chief concern in this round is to accept when the interviewer asks for any problems regarding travelling. This position involves a lot of travelling and hence, there must be no doubtfulness. Second phase of personal interview was the technical interview round which was entirely based on the curriculum vitae. The projects done (both technical and non-technical) are requested to be explained in detail. Case studies are brought up to be solved. The case study asked for Harshit was that ‘If TATA server is on fire, what would be the solutions that you would come up?’ Nice and perfect answers for these questions boost the chance of getting placed in EY. Wages are the biggest expense for most businesses. So, hiring only women would reduce costs by nearly a quarter – and that would go right to the bottom line. Don’t businesses want to be profitable? Or, are they just really bad at math? Well, actually, it’s the feminists, celebrities and politicians spreading this wage gap myth who have the math problem. Here’s why: The 77-cents-on-the-dollar statistic is calculated by dividing the median earnings of all women working full-time by the median earnings of all men working full-time. In other words, if the average income of all men is, say, 40,000 dollars a year, and the average annual income of all women is, say, 30,800 dollars, that would mean that women earn 77 cents for every dollar a man earns. 30,800 divided by 40,000 equals .77. But these calculations don’t reveal a gender wage injustice because it doesn’t take into account occupation, position, education or hours worked per week. Even a study by the American Association of University Women, a feminist organization, shows that the actual wage gap shrinks to only 6.6 cents when you factor in different choices men and women make. And the key word here is “choice.” The small wage gap that does exist has nothing to do with paying women less, let alone with sexism; it has to do with differences in individual career choices that men and women make. In 2009, the U.S. Department of Labor released a paper that examined more than 50 peer-reviewed studies and concluded that the oft-cited 23 percent wage gap “may be almost entirely the result of individual choices being made by both male and female workers.” Well, let’s look at some of those choices. Georgetown University compiled a list of the five best-paying college majors, and the percentage of men or women majoring in those fields: Number 1 best-paying major: Petroleum Engineering: 87% male Number 2: Pharmaceutical Sciences: 48% male 3: Mathematics and Computer Science: 67% male 4: Aerospace Engineering: 88% male 5: Chemical Engineering: 72% male Notice that women out-represent men in only one of the five top-paying majors – by only a few percentage points. Now consider the same study’s list of the five worst paying college majors: Number 1: Counseling and Psychology: 74% female Number 2: Early Childhood Education: 97% female 3: Theology and Religious Vocations: 66% male 4: Human Services and Community Organization: 81% female 5: Social Work: 88% female Here, it’s the women who lead in all but one category. Even within the same profession, men and women make different career choices that impact how much money they make. Take nursing, where male nurses on the whole earn 18% more than female nurses. The reason? Male nurses gravitate to the best-paying nursing specialties, they work longer hours, and disproportionately find jobs in cities with the highest compensation. Easterbrook, Chief Judge, U.S. Court of Appeals for the Seventh Circuit Presented by: the Center for Business Law and Regulation Summary: Dean Lindsey Cowen Business Law Lecture Judge Easterbrook will revisit issues relating to corporate law, in particular whether competition between states for corporate charters produces a race to the top of corporate law, a long-standing assumption in academic literature. Frank Easterbrook has been Chief Judge, U.S. Court of Appeals for the Seventh Circuit, since 2006. Nominated by President Ronald Reagan, he joined the court in 1985. Judge Easterbrook was a law clerk to Levin H. Campbell of the U.S. Court of Appeals for the First Circuit. He then joined the solicitor general's office, where he served first as assistant to the solicitor general and later as deputy solicitor general of the U.S. Before joining the U.S. Court of Appeals, he was Assistant Professor (1978-81) and Professor of Law (1981-85) at the University of Chicago. He was also a principal in Lexecon, an economic and financial consulting firm. Judge Easterbrook continues to teach at the University of Chicago. He received his J.D. from the University of Chicago Law School in 1973, where he was an editor of the Law Review and a member of the Order of the Coif. He attended Swarthmore College, where he received a B.A. in 1970 with high honors and was elected to Phi Beta Kappa. Judge Easterbrook is interested in antitrust law, criminal law and procedure, and other subjects involving implicit or explicit markets. He was a member of the S.E.C.'s Advisory Committee on Tender Offers in 1983 and was elected to the American Law Institute in the same year and to the American Academy of Arts and Sciences in 1992. Between 1982 and 1991 he was an editor of the Journal of Law and Economics. He has written (with Daniel R. Fischel) The Economic Structure of Corporate Law (1991) and has published numerous articles, several of them scholarly.

"Leave it to the innovative hive mind of Reddit to find creative ways to get results. It started on Wednesday, when an article about a NASCAR-inspired White House petition to make congressional lawmakers wear the logos of their financial backers went viral on the social network. While it was an implausible proposal outside the powers of the White House, members of the Reddit community quickly took to the comment thread to note that the idea -- floated in the past by comedians such as Robin Williams and since adopted by political figures such as Libertarian presidential candidate Gary Johnson -- has experienced some pickup in the past and could be illustrated, if not actually implemented in Washington."* How do we reveal what politicians' true motives are? They were raised in the same home, with the same parents, had the same IQ, same skills and same opportunities. Each was married and had two children. They were all carpenters making $25 per hour. While they were very similar in all these respects, they had different priorities. For example, Tom, chose to work 20 hours per week, while his brother, Dick worked 40 hours and Harry 60. It should also be noted that Harry's wife worked full time as an office manager for a salary of $50,000. Dick's wife sold real estate part time 10 hours a week and made $25,000 per year. Tom's wife did not work. Tom and Dick spent all of their family income. Since they paid into Social Security they figured, they didn't need to save for retirement. Harry and his wife, on the other hand, had, over many years, put away money each month and invested it in stocks and bonds. Here's how it worked out: Tom made $25,000 a year, Dick and his wife made $75,000 and Harry and his wife, $150,000. When a new housing development opened up in their community, the brothers decided to buy equally-priced homes on the same private street. One day the brothers decided to pool their funds for the purpose of improving their street. Concerned about crime and safety, and wanting a more attractive setting for their homes, the three families decided to install a security gate at the street's entrance; repave the street's surface; and enhance the lighting and landscaping. The work was done for a total cost of $30,000. Harry assumed they would divide the bill three ways, each brother paying $10,000. But Tom and Dick objected. "Why should we pay the same as you?" they said. "You make much more money than we do." Harry was puzzled. "What does that have to do with anything?" he asked. "My family makes more money because my wife and I work long hours, and because we have saved some of the money we've earned to make additional money from investments. Why should we be penalized for that?" "Harry, you can work and save all you like" Tom countered. "But my wife and I want to enjoy ourselves now, not 25 years from now." "Fine, Tom. Do what you want. It's a free country. But why should I have to pay for that? "I can't believe your being so... unbrotherly," Tom argued. "You have a lot of money and I don't. I thought you'd be more generous." At this point, Dick, the peacemaker in the family, entered the conversation. "I've got an idea," Dick said. "Our combined income is $250,000, and $30,000 is 12 percent of that amount. Why don't we each pay that percentage of our income? Under that formula, Tom would pay $3,000, I would pay $9,000, and Harry would pay $18,000." "I have a much better idea," said Tom.
